Heraldo de Madrid - Redishred Obtains Final Order for Plan of Arrangement with VRC Companies, LLC

The completion of the Arrangement remains subject to the satisfaction or waiver of certain other customary closing conditions and is expected to close on or about February 7, 2025. Upon closing of the Transaction, the Shares will cease to be listed on the TSX Venture Exchange and Redishred will submit an application to cease to be a reporting issuer under applicable Canadian securities laws.

The majority of Redishred Shares are held through brokers and other intermediaries, and beneficial holders of those Shares will not need to take any further action in order to receive the cash consideration under the Arrangement following closing. Registered shareholders of Redishred must submit their share certificates or direct registration statements (as applicable) along with a duly completed letter of transmittal in order to receive the cash consideration under the Arrangement.
